Contract renewal glossary

What is a notice of non renewal?

A notice of non renewal is a formal statement, usually in writing, telling the other party that you will not continue a contract into its next term. It stops an agreement from automatically rolling over, and it must be given before the notice deadline to count.

Non renewal, cancellation, termination: not the same thing

People use these three words as if they mean one thing. They do not, and the difference matters.

  • Non renewal lets a contract run its full current term and simply declines the next one. You are not breaking anything. You are letting it end on schedule.
  • Cancellation usually means ending inside the current term, often triggering fees or requiring a specific right to do so.
  • Termination is the contractual mechanism that allows either, governed by the termination clause.

If your term is ending and you just do not want another one, what you are sending is a notice of non renewal. It is the cleanest exit there is, and it costs nothing, as long as it lands before the deadline.

Three things that make it stick

A non renewal notice only works if it meets the contract's own rules. Check for all three:

  1. Timing. It must arrive before the notice deadline, which is the renewal date minus the notice period. Late is the same as never sent.
  2. Method. Many contracts demand a specific channel: written letter, email to a named address, or a vendor portal. A message to the wrong inbox may not count.
  3. Content. State clearly that you are not renewing, name the contract, and give the effective end date. Keep it short and unambiguous.

Get any one wrong and the contract can renew anyway, which is exactly the outcome you were trying to avoid.

Writing the notice is easy once you know the deadline. Knowing the deadline for every contract, and remembering to send each one, is the hard part. Uplena tracks every notice window and even drafts the non renewal email for you, ready to paste. Free during early access.
